Premise
1. Preliminary information. Site name and ownership.
The “b2bsilvana.com.com” website (hereinafter also “Site” for brevity) is the website owned by Laboratorio Silvana Srl, with registered office at Via San Nicola, 27 in Caserta (CE), registered in the CE Company Register - 342681, Tax Code and VAT number 00952050946, certified email address: laboratoriosilvana@pec.it.
2. Scope of application of the GTC
2.1. These General Conditions of Sale (“GTC”) govern the offer and sale of products through the Site and describe the procedures for registering on the Site and managing your account.
2.2 These GTC are made available to the user via the dedicated "General Conditions of Sale" page of the Site; the user can consult and save them on a durable medium.
2.3. The purchase is permitted to the user, whether a natural or legal person, acting in the exercise of an entrepreneurial, commercial, artisanal or professional activity ("professional"),
2.4. Products can only be purchased through the Site after registering, creating an account, and entering the necessary delivery and billing information.
Registration and account creation
Registration on www.b2bsilvana.com is required to place an order, but does not imply any obligation to purchase. To create an account, users must provide both personal and company information, create a password, and review our Privacy Policy.
Specifically, the data requested is: name, surname, and company name (in the case of companies), telephone number, email address, tax code and/or VAT number, registered office address, and operational headquarters (optional).
Your personal account provides various information, such as: viewing your order history, saving your data for future purchases, reordering previously purchased products, viewing your favorite items and exclusive offers. You can also manage your subscription to our newsletter to receive special and personalized offers.
Orders
All orders and payments are subject to acceptance, which is unquestionable, by Laboratorio Silvana Srl. Once the order has been completed, it must be considered definitive and no new additions can be made except through a new order.
Prices
All prices on the site are expressed in Euros.
While browsing, based on the profile registered and entered by the Customer when logging into their account or based on the origin of the visit, the prices of the Products are displayed as excluding VAT (Company Profile).
Where applicable, the VAT rate in force at the time the Order Summary is sent will be applied.
In the event of a change in the cost of raw materials outside of ordinary market fluctuations and/or in any case due to unforeseeable and/or unplanned external events, Laboratorio Silvana Srl reserves the right to vary, at its sole discretion, the prices of the Products, without prejudice to orders already completed with the sending of the Order by the User.
Once the insertion of the selected Products into the Cart (“Order”) has been completed, the system will generate an “Order Summary” which lists the Products previously inserted into the Cart, their price (excluding VAT) at the time of the Order, any discounts and promotions valid and applicable at the time of the Order (hereinafter the “Price”) and the order total which includes the “Price” of the Products, any shipping costs, which will be followed by payment as indicated in the Order Total.
Up until the stage preceding "payment", the User will be able to modify the Order, adding or removing Products from the Cart.
The User's Order will be considered a contractual purchase proposal addressed to Laboratorio Silvana for the Products listed in the Order, each considered individually.
Upon receipt of the Order, the system will automatically generate an Order Acknowledgement message summarizing the purchased Products, quantity, description, and price. The Order Acknowledgement message does not constitute acceptance of the purchase proposal.
By sending the Order confirmation, Laboratorio Silvana only confirms that it has received the Order and has submitted it to a data verification process and the availability of the requested Products.
The sales contract with Laboratorio Silvana will be concluded only when Laboratorio Silvana sends a separate email containing information relating to the shipment of the Product(s) ("Shipping Confirmation").
If your Order is processed through multiple shipments, you may receive separate Shipping Confirmations. Without prejudice to the foregoing, i.e., the right to modify the Price of the Products listed on the site at any time, Laboratorio Silvana guarantees the user that the Price charged will be the one indicated in the Order Summary.
In any case, if the Product price listed on the website contains an error due to a glitch and/or other technical problem not attributable to Laboratorio Silvana (such as, for example, a system corruption or virus), before processing the Order, Laboratorio Silvana will inform the Customer so that they can proceed with correct invoicing and verify whether they still wish to purchase the product at the correct price. Otherwise, the Order will not be accepted and will be cancelled.
The prices shown on the website may vary and differ from those published in paper catalogues or promotional brochures of Laboratorio Silvana.
SIAE fees
All products marked with a specific stamp are subject to the currently applicable SIAE fee. Should these fees be subject to changes by the competent authorities, or should other products become subject to the SIAE fee, Laboratorio Silvana will adjust the fees on the invoice to reflect the updated values.
Payments
Our payment terms are: Cash on delivery ( cash or check), advance bank transfer with a 3% discount on the taxable amount, direct debit with a 3% discount on the taxable amount, PayPal - direct payment or in 3 installments. The order cannot be processed without a VAT number.
Payment terms are binding. Any exceptions must be authorized in advance by Laboratorio Silvana Srl in writing. In the event of late payment beyond the agreed due dates, Laboratorio Silvana Srl will apply default interest at the rate established in accordance with Legislative Decree 231/2002, without prejudice to any enforcement actions.
Fortuitous event and force majeure
Laboratorio Silvana will not be liable for any delays in the performance of services and/or delivery of products, or for the failure and/or delay in performance of the contract, if such failure is caused by force majeure events. Force Majeure means an event that occurs beyond Laboratorio Silvana's reasonable control and includes, without limitation, the following: a) war, hostile acts, or warlike operations, whether conducted under a declared or undeclared state of war; b) rebellion, revolution, insurrection, civil riots, riots, and acts of terrorism; c) strike, sabotage, lockout, embargo, pandemic, blockade, industrial dispute, shipwreck, epidemic, quarantine, and pestilence; d) natural disasters, earthquakes, storms, fires, floods, inundations, tidal waves; e) weapons of war, explosive materials, ionizing radiation or radioactive contamination, nuclear and pressure waves, except as reasonably attributable to the activity of the contracting party; f) actions or omissions by local authorities, prohibitions on exporting or importing materials or equipment or services.
If Laboratorio Silvana is prevented, hindered, or delayed from fulfilling any obligation under this Agreement due to Force Majeure, it will be deemed excused from fulfilling such obligation for the entire period in which the persistence of the Force Majeure prevents it from fulfilling it. However, failure to fulfill due obligations due to Force Majeure does not affect the Customer's obligation to make the payments due under the Agreement.
Delivery and transport
Delivery is free throughout Italy for orders over €400.00 ie for all products, except Happy diapers, which are free for orders over €1,500.00 ie. To ensure the best possible service, all available goods will be shipped. Any remaining items will be shipped carriage paid. All orders are shipped within 2 to 6 working days from the Laboratorio Silvana Srl sorting center located in Caserta (CE). The delivery and transport conditions set forth in this paragraph do not apply to products on the website and in the catalog marked with the "DEDICATED DELIVERY" icon, for which Laboratorio Silvana reserves the right to indicate the relevant delivery times at the time of ordering. Furthermore, for products marked with the "DEDICATED DELIVERY" icon, the assembly service and the Delivery Plus service are not available. This does not apply to cases of force majeure, unforeseeable circumstances, holidays, inconvenient delivery locations, and orders of exceptional quantities. For orders with customized deliveries, a service fee can be agreed upon in advance. Packaging is free.
Goods control
The Customer and/or the person designated by the Customer to collect the goods (recipient) is required to carefully check and verify, upon delivery and in the presence of the carrier, the integrity of the delivered packages and their number. Any discrepancies in the number and/or integrity of the packages must be reported in writing in the appropriate space on the transport document (DDT or Accompanying Invoice), which, duly signed, will be retained by the carrier. Once this is done, the Customer must contact Laboratorio Silvana Srl Customer Service to report the issue. The Customer is required to report any other complaints within 3 days of delivery by contacting Laboratorio Silvana Srl Customer Service at 0823-1453274.
Returns and money back guarantee
If you are dissatisfied, you will have 3 days to request a replacement or refund. Products must be returned intact and complete with all accessories, in their original packaging and with adequate external packaging. Otherwise, they will be refused and returned to the sender, freight collect. The following product categories are exceptions, for which specific conditions apply:
The “Satisfaction or Refund” guarantee also does not apply to:
- Freebies offered by Laboratorio Silvana on certain purchase categories.
- All items not present in the catalogue or on our website and specifically supplied upon customer request.
All returns must be authorized in advance by Laboratorio Silvana Srl by contacting Customer Service at 0823-1453274. Laboratorio Silvana Srl will collect the returned goods through its own logistics organization, free of charge. Laboratorio Silvana Srl reserves the right to request copies of the shipping documents from the Customer. In the event of a justified complaint by the Customer regarding defects and/or faults in the goods, Laboratorio Silvana has the right to choose whether to replace the defective goods with other non-defective goods or to cover the repair costs. The right to any form of warranty is void if the reported defect and/or fault is due to fault, negligence, or fraud, or to improper storage operations and in any case not attributable to Laboratorio Silvana Srl and in particular to the non-compliant use of the instructions accompanying the goods or to tampering, modifications, and/or variations not authorized by Laboratorio Silvana Srl and/or to the use of non-original parts, accessories, and spare parts or in any case not supplied by Laboratorio Silvana Srl.
Warranty and assistance
All our items are carefully selected and guaranteed for 1 year against defects in materials or workmanship.
Responsibility
Except as provided in the preceding sections on Returns, Warranty, and Assistance, any compensation for damages of any kind suffered by the Customer or third parties, and any other obligation other than those expressly provided for herein, is excluded. Under no circumstances will Laboratorio Silvana Srl be liable for any indirect damages (including, without limitation, damages for loss of profits, business interruption, loss of data, or other economic losses) incurred by the Customer from the performance of contractual obligations.
Products
Laboratorio Silvana Srl reserves the right to modify the technical characteristics of its products without notice, in compliance with applicable laws. In exceptional circumstances, if an ordered product is unavailable, Laboratorio Silvana Srl may replace it with another product with the same functionality and identical or higher quality. Pursuant to European Regulation (EU) No. 1169/2011, information relating to food products is available on the website www.b2bsilvana.com and shown on the product page. Regarding medical devices, all information in our catalogs is not intended for advertising purposes. All content, in whatever form (text, images, technical and non-technical descriptions, etc.), is for informational purposes only.
Competent Court
For disputes relating to the application and execution of this contract if the customer purchases the products as part of his or her entrepreneurial, artisanal, commercial or professional activity, the Court of Santa Maria Capua Vetere (CE) shall have exclusive jurisdiction over any dispute.
Obligation to comply with the organizational model EX DLGS 231/01 and the code of ethics and indemnity
Laboratorio Silvana Srl has adopted and implements an Organization, Management, and Control Model pursuant to Legislative Decree 231/01, and the related Code of Ethics. Therefore, the Client undertakes to adhere to the principles set forth therein, respecting its principles and procedures.
